Please read these Terms of Service ("Terms") carefully before using the NowHere mobile application ("App") or any related services (collectively, the "Service"). By creating an account or using the Service you agree to be bound by these Terms.
1. Acceptance
By downloading, installing, or using NowHere you confirm that you are at least 13 years old (or 16 in the European Economic Area), that you have read and understood these Terms, and that you agree to comply with them. If you do not agree, do not use the Service.
2. Account registration
To access most features of the Service you must create an account using a valid email address. You are responsible for:
- providing accurate registration information;
- maintaining the confidentiality of your password;
- all activity that occurs under your account;
- notifying us promptly at support@nowheretasks.app if you suspect unauthorised access.
You may not create accounts on behalf of others without their explicit consent.
3. Permitted use
You may use the Service only for lawful, personal, non-commercial purposes. You agree not to:
- violate any applicable law or regulation;
- attempt to gain unauthorised access to the Service, servers, or networks connected to it;
- reverse engineer, decompile, or attempt to extract source code from the App;
- use the Service to distribute spam, malware, or other harmful content;
- harass, abuse, or harm other users;
- use the Service in a way that could impair or overburden our infrastructure;
- create false or misleading group invitations or impersonate other persons.
4. Subscriptions and quotas
The Service is available on a Free plan and a Premium plan. Quota limits applicable to each plan are described on our Pricing page and are enforced by our servers. We may adjust plan limits at any time with reasonable notice.
In-app purchase for the Premium plan is not yet available. Premium access is currently granted by administrators only. We reserve the right to introduce paid plans with prior notice.
5. Location permissions
Geofencing functionality requires background location access. By granting this permission you authorise the operating system to monitor your proximity to saved places. Your real-time location is processed on-device only and is never transmitted to our servers. Revoking the permission through device settings will prevent geofence-triggered reminders from firing when the app is in the background.
6. User content
"User Content" means place names, task titles, group names, and any other data you enter into the App. You retain all ownership of your User Content. By using the Service you grant us a limited, worldwide, royalty-free licence to store, process, and transmit your User Content solely as necessary to provide the Service.
You are solely responsible for the lawfulness and accuracy of your User Content. We do not review, edit, or monitor User Content.
7. Groups and collaboration
When you create a group you become its owner and are responsible for managing memberships and invitations. Invitations are sent to the email address you specify. We are not responsible for invitations sent to incorrect addresses or for actions taken by group members.
By joining a group you agree that other members can see shared list contents and your membership status. The group audit log is visible to all group members and records administrative actions.
8. Notifications
Geofence-based reminders are delivered as local notifications by the operating system. Push notifications about group events are delivered via Firebase Cloud Messaging. You can disable push notifications at any time in the app or via your device settings. Disabling local notifications will prevent geofence reminders from appearing.
9. Intellectual property
All rights in the App, including but not limited to software, design, logos, trademarks, and documentation, are owned by or licensed to NowHere. Nothing in these Terms transfers any intellectual property right to you other than the limited right to use the Service as described herein.
10. Third-party services
The App uses the following third-party services:
- Google Maps — map display and geocoding, subject to Google's Terms of Service.
- Google Sign-In — optional authentication via your Google account.
- Firebase Cloud Messaging — push notification delivery.
Use of these services is subject to their respective terms and privacy policies.
11. Disclaimer of warranties
The Service is provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that geofence notifications will fire at an exact moment or distance. Geofencing accuracy depends on device hardware, operating system behaviour, and environmental factors beyond our control.
12. Limitation of liability
To the fullest extent permitted by applicable law, NowHere and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.
Our aggregate liability for any claim relating to the Service shall not exceed the greater of (a) the amount you paid us in the twelve months preceding the claim or (b) USD 10.
13. Indemnification
You agree to indemnify and hold harmless NowHere from any claims, damages, losses, and costs (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.
14. Termination
You may stop using the Service at any time. You may delete your account as described in the Delete Account page.
We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms. In such cases we will, where reasonably practicable, notify you in advance. Termination does not limit any other remedies we may have.
15. Changes to the Terms
We may update these Terms at any time. Material changes will be communicated via an in-app notification or email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
16. Governing law and disputes
These Terms are governed by the laws applicable in the jurisdiction in which NowHere operates, without regard to conflict-of-law principles. Any dispute that cannot be resolved amicably shall be submitted to the courts of competent jurisdiction in that location. If you are a consumer in the European Union, you may also refer the dispute to your local consumer dispute resolution body.
